Agreement to Terms
By accessing our website, booking a consultation, or purchasing any of our SEO packages, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and SEO Strategy Partners regarding your use of our digital marketing services and dashboard.
User Eligibility & Authority
To utilize our professional services, the following conditions must be met:
Age Requirement
You must be at least 18 years of age to enter into this agreement and use our SEO tools or consulting services.
Corporate Representation
If you are using our services on behalf of a business entity, you represent that you have the legal authority to bind that company to these terms.
Account Security
Users are responsible for maintaining the confidentiality of their dashboard credentials and for all activities that occur under their account.
Methods of Acceptance
Acceptance of these terms occurs through any of the following actions:
- Visiting or browsing our public website and resources
- Submitting an inquiry or audit request form
- Booking a strategy consultation via our scheduling system
- Purchasing a monthly SEO package or one-time service
- Signing a formal Proposal or Statement of Work (SOW)
Relationship to SOWs
For clients engaged in custom enterprise projects, specific project details are governed by a Statement of Work (SOW):
- Precedence: In the event of a conflict between these general Terms and a signed SOW, the SOW shall control for that specific project.
- Deliverables: Timelines and specific SEO deliverables will be defined within the individual SOW.
- Modifications: Any changes to an active SOW must be agreed upon in writing by both parties.
Service Limitations
While we strive for excellence, SEO is subject to third-party search engine algorithms. We do not guarantee specific rankings or overnight results, as search environments are constantly evolving and beyond our direct control.
Intellectual Property
All strategy documents, audit reports, and proprietary methodologies provided during the service remain the intellectual property of SEO Strategy Partners until full payment is received, at which point a license is granted for your internal business use.
Termination
We reserve the right to terminate access to our dashboard or cease services if these terms are violated, including non-payment or unauthorized redistribution of our proprietary SEO data.
Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which our primary business is registered, without regard to its conflict of law provisions.
Updates to Terms
We may revise these terms from time to time to reflect changes in our services or legal requirements. Continued use of our services after such changes constitutes your acceptance of the new terms.

The client is responsible for ensuring all text, images, and media provided for SEO campaigns are original or properly licensed for commercial use.
SmallBizSEO is not liable for the quality, safety, or legality of the products or services offered by the client on their website.
Clients in legal, medical, or financial sectors must ensure their content meets specific industry-standard regulatory requirements.
The client agrees to indemnify SmallBizSEO against any claims arising from the use of trademarks or logos provided by the client.
We are not responsible for penalties resulting from client-requested tactics that violate search engine or social platform terms.
Indemnification applies if the client modifies or uses SEO deliverables in a manner not intended or authorized by our agreement.
The client is liable for any legal action resulting from false or misleading statements made within their marketing materials.
Failure to adhere to the terms of service may result in the client being held responsible for legal costs incurred by SmallBizSEO.
Termination Policy

1. Grounds for Suspension and Termination
SmallBizSEO reserves the right to suspend or terminate services immediately under the following circumstances: non-payment of invoices beyond the grace period, abuse or harassment of our staff or systems, engagement in illegal activities, or violations of platform-specific terms of service. We maintain a zero-tolerance policy for actions that compromise our operational integrity or the safety of our team.

2. Failure to Provide Access or Approvals
Our ability to deliver SEO results depends on timely access to your website, analytics, and content approvals. Failure to provide necessary credentials or feedback within thirty (30) days may result in service suspension. SmallBizSEO is not liable for performance delays caused by client-side inaction or withholding of critical technical access.
3. Reputational Risk and Ethical Standards
We may terminate this agreement if a client's business practices pose a significant reputational risk to SmallBizSEO. This includes requests for deceptive, 'black-hat', or spammy SEO practices that violate search engine guidelines. We are committed to ethical marketing and will not fulfill requests that could lead to permanent domain penalties or legal repercussions.
4. Material Breach of Contract
Either party may terminate the agreement upon written notice if the other party commits a material breach of these terms and fails to cure such breach within fifteen (15) days of notification. Material breaches include, but are not limited to, unauthorized use of proprietary methodologies or failure to deliver services as outlined in the signed Statement of Work.
5. Post-Termination Obligations
Upon termination, the client is responsible for the immediate payment of all outstanding final invoices for work performed. SmallBizSEO will return or delete all client-provided confidential information in accordance with our data retention policy. Client access to proprietary SmallBizSEO reporting dashboards and tools will be revoked at the close of the final billing cycle.

6. Handoff of Final Deliverables
Final deliverables, including completed content and technical audits, will be handed over to the client provided all outstanding balances are paid in full. SmallBizSEO does not 'lock' SEO improvements; however, we are not responsible for maintaining or updating site performance once the professional relationship has concluded.
7. Survival of Specific Clauses
Certain provisions of this agreement shall survive termination, including but not limited to: Intellectual Property rights, final payment obligations, confidentiality agreements, limitations of liability, and dispute resolution clauses. These terms remain binding to protect the interests of both parties beyond the active service period.
8. Formal Notice Procedure
All termination notices must be submitted in writing via email to our billing or account management department. Termination is considered effective on the last day of the current billing month, unless otherwise specified in a custom service level agreement. We recommend a formal offboarding call to ensure a smooth transition of assets.
